WOO Breathwork — Terms of Service

These Terms of Service (the "Terms") govern your use of woobreathwork.com and the WOO Breathwork platform (collectively, the "Service"). The Service is owned and operated by Chelsea Eden Dubeau, operating as WOO Breathwork™.
By accessing or using the Service, you confirm that you've read, understood, and agree to be bound by these Terms in full. If you do not agree, please do not use the Service.

1. Description of Service
WOO Breathwork provides:
  • Subscription-based ("membership") access to a curated library of breathwork audio sessions
  • A private journal for personal reflection
  • A supportive community platform for sharing experiences
  • Tools to track your breathwork practice and progress
  • 1:1 and group breathwork sessions, workshops, integration support, and coaching (The Sovereign Shift™)
  • Enterprise licensing of the breathwork audio library to clinics, centres, and organizations (see Section 8)
Chelsea Eden Dubeau provides coaching, consulting, educational, and breathwork facilitation services focused on nervous system sovereignty — including stress management, burnout, overcoming addictive behaviours, nervous system regulation, overcoming visibility wounds, and spiritual awakening. We do not guarantee any specific financial, business, medical, or personal outcome. Results depend on your individual effort, implementation, and factors outside our control.

2. Eligibility and Account Registration
To use the Service, you must:
  • Be at least 18 years of age to register an account (see our Privacy Policy, Section 11, for how minors may engage with WOO content under adult supervision)
  • Provide accurate, complete, and current registration information, and update it if it changes
  • Maintain the confidentiality and security of your password
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorized use of your account
We reserve the right to limit, suspend, or terminate your access if you use the Service illegally, fraudulently, or in violation of these Terms.

3. Intellectual Property
All content made available through the Service — including images, text, logos, documents, audio breathwork journeys, workbooks, and everything that composes the Site — is the property of Chelsea Eden Dubeau. This includes registered and common-law trademarks SOVARA™, The Sovereign Shift™, and WOO Breathwork™.

You may:
  • Stream audio content for personal, non-commercial use, while your subscription or license is active
You may not:
  • Download, copy, share, resell, sublicense, or redistribute any portion of our digital products or audio content, in whole or in part
  • Remove or modify copyright notices
  • Use our content for commercial purposes unless you hold an active Enterprise License (Section 8)
4. Acceptable Use
You agree to use the Service lawfully and agree not to:
  • Share purchased download links, or resell/redistribute any portion of our digital products
  • Harass or mistreat other users
  • Violate the rights of other users or third parties
  • Violate our intellectual property rights or anyone else's
  • Hack or attempt to access another user's account
  • Act fraudulently
  • Post material that is spam, promotional, offensive, illegal, or otherwise inappropriate
  • Impersonate others or create fake accounts
Community Guidelines
Our community is built on mutual respect. You agree to be respectful and supportive, share authentic experiences, and respect others' privacy — and agree not to harass, bully, spam, or share inappropriate or illegal content.
We reserve the right to remove content and suspend or terminate accounts that violate these guidelines, and to take any legal steps necessary in response to violations of these Terms.

5. Your Content
You retain ownership of content you create — journal entries, community posts, and comments. Your private journal entries remain private and are never shared. By posting in community areas, you grant us a license to display and distribute that content within the platform, and agree not to post anything unlawful or in violation of these Terms.

6. Subscriptions, Payments, and Refunds

Billing
Memberships are billed automatically through Stripe at the start of each billing period (monthly or quarterly, depending on your plan). By subscribing, you authorize us to charge your chosen payment method. Accepted methods include credit card, debit, direct debit, Klarna, Afterpay, Affirm, and Google Pay.

Cancellation and Refunds
You may cancel your membership anytime through your Profile settings or the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period — you'll retain access until then. No refunds are provided for partial periods or unused time.

Price Changes
We may change membership pricing with 30 days' advance notice. Price changes won't affect your current billing period; continued use after a price change means you accept the new pricing.

Failed Payments
If a payment fails, we'll attempt to charge again. If it continues to fail, your membership will be suspended and you'll lose access to member-only features.
We reserve the right to modify, reject, or cancel an order when necessary; if we cancel a processed payment, we'll refund the amount paid.

7. No Guarantees or Warranties
Chelsea Eden Dubeau makes no guarantees, warranties, or representations regarding specific business results, revenue generation, or personal transformation or healing outcomes. Testimonials and case studies reflect individual past experiences and are not a promise of similar results for you. You are a sovereign, radically responsible party in the decisions you make using this Service.

8. Enterprise Licensing
WOO Breathwork offers a single Enterprise License for organizations, clinics, centres, and group program facilitators who want to offer the breathwork audio library to clients or participants.

License scope:
  • Each Enterprise License covers up to 25 seats (individual user accounts/logins).
  • The license is valid for use in individual client sessions, group settings, and structured group programs, provided the audio content itself remains unaltered.
  • The license is non-exclusive, non-transferable, and revocable, and does not grant ownership of the audio content, copyright, trademark rights, or the right to create derivative works.
Permitted uses:
  • Playing audios for clients in live individual or group sessions
  • Recommending the library to active clients for supportive, between-session use (clients may be set up with individual accounts under the license)
  • Incorporating audios into a structured program or offering, unaltered
Prohibited uses:
  • Re-recording, remixing, editing, or otherwise modifying the audios
  • Redistributing, reselling, sublicensing, or publicly sharing the audios
  • Uploading audios to public platforms, apps, or shared libraries outside the license
  • Claiming authorship or co-creation of the audios, or presenting the work as proprietary to the licensee
  • Using the audios to train others in breathwork facilitation
  • Using the audios as a substitute for medical, psychological, or addiction treatment, or representing them as diagnostic or curative
Attribution: Licensees must accurately represent the audio library as created by Chelsea Eden Dubeau / WOO Breathwork™.

Practitioner responsibility: Licensees are solely responsible for assessing client readiness and appropriateness, and for providing integration or follow-up support. The licensor is not responsible for outcomes arising from misuse, overuse, or inappropriate application of the audios.

Children & family content: The Magician's Garden™ series is licensed specifically for children, family contexts, and educational or therapeutic settings, and may not be reframed as therapeutic treatment. Adult supervision is required.

Termination: This license may be terminated immediately upon violation of these terms, misuse or misrepresentation of the work, or unauthorized distribution. Upon termination, the licensee must cease all use and delete all copies of licensed materials.

Updates: These licensing terms may be updated periodically; continued use of licensed materials constitutes acceptance of the current version.

9. Health, Safety, and Medical Disclaimer

IMPORTANT — please read carefully.
WOO Breathwork services — including audio products, workbooks, and live sessions — are intended for educational and wellness purposes only. They do not constitute medical advice, counseling, psychotherapy, psychoanalysis, or diagnosis or treatment of any medical condition, and are not a substitute for professional medical or therapeutic care.

Breathwork can evoke powerful physical and emotional responses. You should consult a qualified medical professional before participating if you have, or are concerned about, any of the following:

  • Pregnancy or post-pregnancy
  • Recent injuries
  • Cardiovascular disease
  • Detached retina, glaucoma, or aneurysms
  • Kidney disease
  • Severe asthma or other respiratory conditions
  • Epilepsy or a history of seizures
  • Diabetes or thyroid issues
  • High blood pressure
  • PTSD or other mental health conditions
  • Recreational drug use, or medication that alters brain chemistry or affects breathing/blood pressure
Each session includes contraindication information — please review it before practicing, and stop immediately if you experience dizziness, pain, or discomfort.

10. Assumption of Risk, Waiver of Liability, and Participation Agreement

By participating in WOO Breathwork™ — including any use of this website, its products, or its services — you acknowledge and agree to the following in full:

Assumption of Risk. You voluntarily choose to participate in breathwork and related activities, fully aware that they carry inherent risks — including but not limited to physical injury, mental or emotional distress, disability, and death. You assume all responsibility for any resulting loss, whether physical, mental, emotional, or economic.

Medical Clearance. You agree to obtain and rely on clearance from a qualified medical professional before participating if you have any pre-existing condition or concern regarding your physical or mental fitness. If you choose not to obtain medical clearance, you do so entirely at your own risk.

Self-Responsibility. You are solely responsible for your own actions, decisions, and results. Your participation does not make WOO Breathwork™ or its proprietor responsible for outcomes or impacts on your personal, professional, or financial life.

Waiver of Liability. You release WOO Breathwork™, its proprietor, employees, contractors, and agents from all claims, costs, liabilities, and expenses — including those arising from known, anticipated, or unforeseen risks — related to any physical, emotional, or mental distress, injury, loss, or damage (including death) arising from your participation. You forfeit the right to bring a lawsuit against WOO Breathwork™ or its representatives in connection with your participation, to the fullest extent permitted by law.

Acknowledgment. By participating in WOO Breathwork™ or purchasing its products, you confirm that you have read and understood this waiver, that you are in good health and able to safely engage in breathwork, and that you knowingly assume all associated risks. You further confirm you've been advised to consult a physician or other qualified health professional to determine your ability to safely participate.

11. Limitation of Liability
WOO Breathwork is provided "as is," without warranties of any kind. To the fullest extent permitted by law:
  • We are not liable for any direct, indirect, incidental, consequential, or special damages arising from your participation in our Services, or from any physical or emotional effects of breathwork practice
  • We do not guarantee uninterrupted or error-free service
  • We are not responsible for loss of data or content
  • Our total liability is limited to the amount you paid us in the preceding 12 months
You acknowledge and agree that you assume full responsibility for any decisions made as a result of coaching, training, consulting, or products/services received through the Service.

12. Indemnity
You agree to indemnify and hold harmless Chelsea Eden Dubeau, WOO Breathwork™, and its employees, contractors, and affiliates from any claims, damages, losses, liabilities, or expenses arising from your participation in the Service, our products, or services — including decisions or actions you take in your personal or professional life based on our guidance.

13. Consumer Protection Law
Where consumer protection legislation in your jurisdiction applies and cannot be excluded (such as Ontario's Business Practices and Consumer Protection Act or equivalent), nothing in these Terms limits your legal rights and remedies under that legislation. These Terms are read subject to that legislation's mandatory provisions, which prevail in the event of a conflict.

14. Service Modifications and Termination
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, change these Terms with reasonable notice, and terminate or suspend accounts that violate these Terms. We'll provide advance notice when reasonably possible for significant changes.

15. Dispute Resolution
Disputes arising from these Terms or your use of the Service will first be addressed through good-faith negotiation. If that fails, disputes will be governed by the laws of the Province of Ontario, without regard to conflict-of-law principles.

16. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be removed without affecting the validity of the remaining Terms.

17. Changes to These Terms
We may amend these Terms periodically to maintain legal compliance or reflect changes to our operations. We'll notify users by email or a Site notice of material changes.
